MINUTES OF MEETING HELD: November 13, 2006

LOCATION/TIME: Smith Barney office, 400 E. Kaliste Saloom,

Lafayette, La. 5:30PM to 6:30PM

TREASURER’S REPORT:

Present balance is $19,699.97.

Bruce advise that $2,999.09 is still owed to Prof Erny

Received $50 donation from George and Janice Roane.

NEW BUSINESS:

A Special meeting of the Board OF Directors was held at 5:30 PM, November 13, 2006. and provided by Robert Hodge. Resolved that Foundation can receive and disburse specific grants, gifts and other bequests by providing donations directly to schools. See minutes (attachment 1) and provided by Robert Hodge, for full text.

Further resolved to change Fiscal year to begin August 1 of each year.

Further resolved to increase number of Board Directors to 12. This is not in the minutes from Robert Hodge, but he is incorporating it into the Bylaws.

All three (3) of the resolutions were passed unanimously. Board members present are listed above.

Sandra Wilcox was nominated to be on the Board of Directors by Mike, and seconded by John. Unanimous approval. Congratulations and welcome Sandra!

GRANT FROM SMITH BARNEY: Carolyn updated the meeting attendees regarding the chronological actions and coordination relating to getting the Grant for $3,750 from Smith Barney to the Academy of Business and Finance, Acadiana High. Waiting for the check. Once happens will have a presentation at Acadiana High. Cynthia Dauphin expressed her appreciation for all of Carolyn’s efforts. Congratulations Carolyn!

HOLIDAY SOCIAL FOR BAND DIRECTORS AND COUNSELORS: Initial discussions in October, and decision at this meeting to look at early in 2007 to have the Social. In meantime Bruce took on assignment to identify the band directors and counselors that would be invited.
